Mandatory notification of trade
On July 17, the following transactions took place in Atea ASA (the Company):
1. Exercise and conversion of stock options
Employees of the Atea Group exercised stock options. Upon exercise, the stock options are converted into the right to receive ATEA shares of an equivalent intrinsic value. The intrinsic value is calculated based on the volume weighted average price of the ATEA share on the day preceding the exercise.
In total, 170,500 stock options with a weighted average strike price of NOK 83.05 were exercised and converted into the right to receive 80,016 Atea shares, based on the volume weighted average price for the Atea share on July 16.
After withholding of income taxes, employees received rights to 43,027 shares in Atea ASA. Atea will transfer 43,027 of its own shares to fulfill the company's obligations.
2. Exercise and conversion of stock options by primary insiders
The following primary insiders exercised stock options:
Juha Sihvonen exercised 30,000 stock options at a strike price of NOK 83.05. Upon exercise, the options were converted into the right to receive 14,079 shares in the Company. After withholding of income taxes, he obtained the right to receive 7,603 shares.
Steinar Sønsteby exercised 100,000 stock options at a strike price of NOK 83.05. Upon exercise, the options were converted into the right to receive 46,930 shares in the Company. After withholding of income taxes, he obtained the right to receive 24,685 shares.
3. Transfer and sale of rights
The primary insiders above transferred their rights to receive shares to a third party. The payment has been determined based on a selling price of NOK 159.63 per share.
4. New holding
Juha Sihvonen holds 313 shares, 400,000 options and 151 RSUs in the Company.
Steinar Sønsteby holds 125,269 shares, 900,000 options and 130 RSUs in the Company. The shareholding includes shares held through his holding company SS Holding AS.
Atea ASA holds 900,799 of its own shares.
